1) Introduction
1.1 Contract
By creating an account, viewing pages, submitting content, purchasing advertising, or otherwise using OTW’s websites, apps, and services (collectively, the “Services”), you agree to these Terms of Use (this “Agreement”), as well as our Privacy Policy and Cookie Policy (collectively, the “Policies”). If you do not agree, do not use the Services.
1.2 Who we are
This Agreement is between you and Open To Work Social LLC, based in Denver, Colorado.
1.3 Changes to these Terms
We may update this Agreement and/or the Policies from time to time. If a change is material or required by law, we will provide notice (e.g., in-product notice, email, or posting). Changes apply prospectively only. If you object, stop using the Services and close your account. Continued use after the effective date constitutes consent.
2) Eligibility & Accounts
2.1 Minimum Age & Real Identity
You must be 16+ years old (or older if your jurisdiction requires) and use your real name and accurate information. One personal account per individual. If you are barred by law or previously banned by OTW, you may not use the Services.
2.2 Account Security
You are responsible for your login credentials and for activity on your account. Use strong passwords, keep them confidential, and notify us promptly of unauthorized use. You may not sell, transfer, or share your account.
2.3 Representatives
If you create or manage an account on behalf of another person (e.g., assisting a candidate) or for a brand’s Sponsored Rewards placement, you represent that you have authority to bind that person or entity to this Agreement.
3) Services & Features
OTW is a social platform and user-generated content digital magazine for job seekers, plus basic jobs discovery tools. We do not offer a “Sales Navigator” product and do not have a “business member” type.
Core features include:

Profiles (your public presence with bio, resume, links).

Interview-style Articles (guided Q&A storytelling pieces published in magazine format).

Editorial-style Articles (open-ended, opinion or expertise pieces).
-
Social Posts (short-form updates and engagement).
-
Resume Sharing (hosting/downloading from your profile).
-
Engagement Tools (likes, shares, comments, follows).
-
Sponsored Rewards (brand-submitted promotional offers with graphics, titles, terms, deadlines, and QR codes).
Generative/AI assistance may be available to help draft content. AI outputs can be inaccurate—you are responsible for reviewing and editing before posting.
4) Payments, Subscriptions & Sponsored Rewards
4.1 Paid Services
Some features (e.g., promotional placements, Sponsored Rewards) may be paid. You agree to pay all fees, taxes, and charges shown at purchase. Prices may vary by region and may change prospectively with notice.

Auto-renewal: If you purchase a subscription, your payment method will be charged at each renewal unless you cancel before renewal.

Billing: You authorize us to store your payment method and to re-attempt charges. Update your method as needed.

Refunds: Except where required by law or our published refund policy, all fees are non-refundable.
4.2 Sponsored Rewards Program (Advertisers)
Brands may purchase monthly “Sponsored Rewards” promotions. By submitting an offer, you represent and warrant:

You own or have rights to the ad graphic, titles, descriptions, terms, deadlines, and QR code.

Your offer and redemption terms comply with applicable laws (consumer protection, advertising, coupons/promotions, privacy, card rules, and state law).

You will honor the offer as presented; changes require clear, prospective notice to users.

You will not submit false, deceptive, adult sexual content, weapons, illegal, discriminatory, unsafe, or otherwise prohibited offers (we may maintain a prohibited categories list).

You are solely responsible for customer service, redemptions, and disputes arising from your offer.

You will comply with FTC endorsement guidelines, CAN-SPAM, TCPA (if applicable), and platform ad standards.
We may reject, remove, limit reach of, label, or require edits to Sponsored Rewards at any time, including for quality, legality, or safety reasons. Advertisers remain liable for their content, claims, and compliance.
4.3 Taxes
You are responsible for applicable taxes based on the billing information you provide.
5) Your Content & License to OTW
5.1 Ownership & License
You own the original content you post (articles, posts, profile elements, resumes, comments, images, etc.). By posting, you grant OTW a non-exclusive, worldwide, transferable, sublicensable, royalty-free license to host, store, use, reproduce, adapt, modify (formatting/transcoding), publish, translate, publicly display and perform, distribute, and create derivative works solely to operate, improve, promote, and provide the Services (including with third-party service providers).
You can delete content at any time; however:

Backups and cached/archived versions may persist for a reasonable period; and
-
Content already shared, copied, or acted on by others may remain accessible.
5.2 Promotion of Features
With your settings and subject to applicable law, we may reference your name, profile photo, and public content to demonstrate or promote platform features (e.g., “Featured on OTW”), without implying your endorsement of a third-party product.
5.3 Your Responsibilities
You are responsible for the accuracy, legality, and permissions for your content. Do not post content that infringes others’ rights, violates law, or breaches confidentiality or non-disclosure obligations.
6) Community Guidelines (Dos & Don’ts)
6.1 Dos

Use your real identity and keep information accurate.

Be professional and respectful.
-
Comply with applicable laws and this Agreement.
-
Credit sources and respect IP rights.
6.2 Don’ts
-
No fake identities, impersonation, or multiple personal accounts.
-
No harassment, hate speech, threats, doxxing, or defamation.
-
No adult sexual content, illegal content, or instructions facilitating harm.
-
No spam, scams, pyramid schemes, or deceptive practices.
-
No scraping, data harvesting, or automated access without permission.
-
No uploading malware, harmful code, or attempting to bypass security.
-
No posting or advertising prohibited goods/services (e.g., illegal drugs, firearms, explosive materials, counterfeit goods).

No misrepresentation of employment opportunities or fraudulent job posts.
Violations may result in content removal, reach limits, feature restrictions, suspension, or termination.
7) Moderation, Takedown & Repeat Infringer Policy
We use a combination of automated tools and human review to moderate. We may remove or restrict content or accounts that, in our judgment, violate this Agreement, applicable laws, or community safety.
Copyright/DMCA: If you believe content infringes your copyright, submit a proper notice (include your contact, work identified, infringing location/URL, good-faith belief, and sworn statement). We may terminate repeat infringers.
Appeals: Where feasible, we may offer a method to dispute moderation decisions; we are not obligated to reinstate content.
8) Service Availability & Changes
We may update, change, or discontinue features, and we may impose or modify limits (e.g., posting frequency, storage, connections, API rate limits, geographies) at any time. We do not promise to store or continue showing any particular content. OTW is not a backup service—export what you need.
9) Third-Party Content, Offers & Links
The Services may display third-party content, links, widgets, offers (including Sponsored Rewards), QR codes, and integrations. OTW does not endorse or guarantee third-party content or services and is not responsible for losses or issues arising from them. Interactions with third parties are solely between you and those third parties.
10) Job Listings, Hiring & Employment Disclaimers
OTW provides tools that let candidates share stories and resumes and lets employers/recruiters discover talent. OTW is not an employment agency or recruiter, does not make hiring decisions, and does not guarantee interviews, offers, or outcomes. Employers are solely responsible for:

Accuracy and legality of job posts;

Compliance with labor, anti-discrimination, and pay transparency laws;

Candidate communications and decisions.
Candidates are responsible for verifying job postings and exercising judgment. Report suspicious postings to us.
11) Data, Privacy & Communications
11.1 Privacy & Cookies
Our Privacy Policy explains how we collect, use, share, and retain personal data; our Cookie Policy explains tracking technologies. By using the Services, you consent to these practices.
11.2 Messaging & Notifications
You agree we may send service notices, administrative messages, and transactional emails (e.g., account, security, billing). You can manage certain marketing preferences in settings. If you provide a phone number, you consent to receive SMS for verification or service updates (standard rates apply).
11.3 Publicity & Discoverability
Depending on your settings, profiles, articles, and posts may be public and discoverable on and off OTW (e.g., search engines, shares). Adjust your visibility controls as needed.
12) Security, Misuse & Reporting
We employ reasonable safeguards but cannot guarantee complete security. Do not attempt to probe, scan, or test system vulnerabilities. Report security issues and policy violations to [insert security/report email]. We may cooperate with law enforcement where permitted by law.
13) Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OTW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT WILL BE AVAILABLE, ACCURATE, OR RELIABLE.
14) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OTW AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, GOODWILL, OR REPUTATION.
OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE SHALL NOT EXCEED THE GREATER OF:
(a) THE AMOUNTS YOU PAID TO OTW IN THE 12 MONTHS PRECEDING THE CLAIM, OR
(b) USD $1,000.
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the maximum extent permitted.
15) Indemnification
You agree to defend, indemnify, and hold harmless OTW and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your content; (b) your use of the Services; (c) your Sponsored Rewards or advertising; (d) your breach of this Agreement or laws; or (e) your violation of any third-party right.
16) Termination & Suspension
Either party may terminate this Agreement at any time. We may suspend or terminate your account or access immediately if we believe you violated this Agreement, the Policies, or applicable law, or if your use poses risk to users or the Services.
Upon termination:

Your license to use the Services ends.

Certain sections survive (including 4, 5.1–5.3, 6–15, 17–19).
-
We may retain data as required or permitted by law and our Policies.
You may request account closure via settings or [insert support email].
17) Governing Law & Dispute Resolution
This Agreement is governed by the laws of the State of Colorado, without regard to conflict-of-law rules. You agree that state or federal courts in Denver County, Colorado have exclusive jurisdiction and venue over disputes arising from or relating to the Services or this Agreement, and you consent to personal jurisdiction there.
Class Action Waiver: To the extent permitted by law, disputes are resolved on an individual basis; class, collective, or representative actions are not permitted.
(If you later want arbitration, we can add a Colorado arbitration clause; for now, this keeps court venue.)
18) General Terms

Entire Agreement: These Terms + Policies are the entire agreement and supersede prior or contemporaneous agreements regarding the Services.

Severability: If any provision is unenforceable, the remainder remains in effect; a court may modify the provision to make it enforceable consistent with intent.

No Waiver: Failure to enforce a provision is not a waiver.

Assignment: You may not assign this Agreement without our consent. We may assign to an affiliate or successor in interest (e.g., merger, acquisition, asset sale).

Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control (e.g., internet or utility outages, acts of God, regulatory actions).

Headings: Headings are for convenience only.
